TERMS & CONDITIONS
1. Introduction
These Terms & Conditions (“Agreement”) govern all sales and services provided by Sahara Pipe Industries L.L.C (“SPI”, “we”, “us”) to the buyer (“Customer”, “you”). By placing an order or accepting delivery, you agree to be bound by these terms.
2. Product Specifications & Pricing
• SPI manufactures HDPE pipes sized 20 mm–630 mm as specified on your purchase order.
• We reserve the right to modify product specs, pricing, or availability in response to supply or market changes.
• Prices are valid for 30 days from quotation unless stated otherwise.
3. Orders & Confirmation
• Orders are offers subject to SPI's acceptance, confirmed by written order acknowledgement.
• SPI may decline orders at its discretion, including quantity oversubscription or custom specifications.
4. Payment & Delivery
Payment terms: 30 days from invoice, unless otherwise agreed.
Title and risk transfer to customer upon delivery to carrier. SPI is not liable for post-dispatch shipping issues.
5. Inspection & Acceptance
Claim window: inspect upon receipt, notify SPI within 1 business day for shipment issues; within 7 days for defects or non-conformance. After this, goods are deemed accepted.
6. Returns & Change Orders
• Returns of in-stock, resalable items accepted with prior approval, subject to restocking, transport, and handling charges.
• Custom or special orders are final and non-returnable.
• Change requests may incur price adjustments.
7. Limited Warranty
SPI warrants its products to be free of defects in materials/workmanship for 12 months from the invoice date.
Defects discovered must be reported within 5 business days. Remedial action at SPI’s discretion: repair, replacement, or refund (not exceeding original purchase price).
• Warranty excludes damage from misuse, improper storage, external events, or modifications post-production.
8. Liability & Indemnification
SPI’s liability is limited to repair, replacement, or refund of defective goods. All other liabilities—including indirect or consequential damages—are excluded.
• You agree to indemnify SPI against claims arising from misuse, improper installation, or alteration of products.
9. Technical & Design Support
Any technical advice from SPI is provided free (if any) on an “as-is” basis, without warranty.
10. Force Majeure
SPI is not liable for delays or failures due to events beyond reasonable control. Performance may be suspended; if delay exceeds 60 days, either party may terminate.
11. Intellectual Property
All product designs, drawings, and proprietary information provided by SPI remain SPI’s exclusive property. You agree not to replicate or disclose these without written consent.
12. Confidentiality
Both parties must keep confidential any sensitive or proprietary information shared during the relationship.
13. Governing Law & Disputes
This Agreement is governed by UAE federal law. Disputes will be referred to arbitration at DIAC, Dubai (English language) as per UAE arbitration law.
14. Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full effect.
15. Amendments
SPI reserves the right to update these Terms from time to time. Updated terms apply to new orders or with 30 days' notice to existing customers.
